Collection of Information by 1MinuteCommercial

In deze algemene voorwaarden wordt verstaan onder:
1MinuteCommercial te Utrecht, ingeschreven bij de Kamer van Koophandel in Utrecht onder nummer 30240718
Videowerken : het door 1MinuteCommercial aangeboden product;
Contractant: een rechtspersoon met wie 1MinuteCommercial een Overeenkomst wil aangaan/aangaat of is aangegaan waarop deze voorwaarden van toepassing zijn;
Partijen: 1MinuteCommercial en Contractant;
Overeenkomst: de afspraken tussen 1MinuteCommercial en Contractant vastgelegd in een formulier, document of op andere wijze, op grond waarvan 1MinuteCommercial één of meerdere Diensten verricht;
Dienst(en): de op grond van een Overeenkomst tussen 1MinuteCommercial en de Contractant door 1MinuteCommercial te verrichten dienst(en) waarop deze voorwaarden van toepassing zijn;
Zaken: De apparatuur en/of Werken die door 1MinuteCommercial aan Contractant wordt verstrekt of anderzins ter beschikking wordt gesteld in het kader van de Diensten van 1MinuteCommercial;
Werken: Al het door en namens 1MinuteCommercial gegenereerde werkresultaat en mogelijk daarbij gegenereerde rechten van intellectuele eigendom welke direct voortvloeien uit door of namens 1MinuteCommercial verrichte Diensten.

TOEPASSELIJKHEID

Deze algemene voorwaarden zijn van toepassing op de Overeenkomst. Afwijkende en Aanvullende voorwaarden gelden uitsluitend voor zover deze door 1MinuteCommercial zijn aanvaard.
1MinuteCommercial behoudt zich het recht voor deze algemene voorwaarden te wijzigen of aan te vullen. 1MinuteCommercial zal Contractant van de wijzigingen cq. aanvullingen tenminste 30 dagen voordat de wijzigingen cq. aanvullingen van kracht worden op de hoogte stellen. Indien Contractant een wijziging cq. aanvulling niet wil accepteren, kan Contractant tot de datum waarop de nieuwe algemene voorwaarden van kracht worden de Overeenkomst schriftelijk beëindigen tegen deze datum.
Eventuele inkoop- of andere voorwaarden van Contractant zijn niet van toepassing, tenzij schriftelijk anders overeengekomen.
Indien enige bepaling van deze algemene voorwaarden nietig is of vernietigd wordt, zullen de overige bepalingen van deze algemene voorwaarden volledig van kracht blijven en zullen 1MinuteCommercial en Contractant in overleg treden teneinde nieuwe bepalingen ter vervanging van de nietige cq. vernietigde bepalingen overeen te komen, waarbij zoveel mogelijk het doel en de strekking van de nietige cq. vernietigde bepalingen in acht wordt genomen.

VERPLICHTINGEN VAN 1MinuteCommercial

1MinuteCommercial zal ervoor zorgdragen dat de werkzaamheden, die zij in het kader van de Overeenkomst verricht, worden uitgevoerd door ter zake deskundig personeel en zal zich ervoor inspannen dat de werkzaamheden naar beste weten kunnen worden uitgevoerd.
Indien 1MinuteCommercial haar verplichtingen niet kan nakomen ten gevolge van stagnatie in of ontbreken van toelevering van voor de Dienst benodigde hulpmiddelen of onderdelen zal 1MinuteCommercial zich inspannen om Contractant een passend alternatief aan te bieden.

VERPLICHTINGEN VAN DE CONTRACTANT

Contractant zal 1MC steeds tijdig alle voor een behoorlijke uitvoering van de Overeenkomst nuttige en noodzakelijke gegevens of inlichtingen verschaffen en alle medewerking verlenen, zonder hiervoor kosten aan 1MinuteCommercial in rekening te brengen.

Contractant is verantwoordelijk voor de juiste invoer van gegevens. Indien blijkt dat voor de uitvoering van de Overeenkomst noodzakelijke gegevens onjuist zijn ingevoerd, heeft 1MinuteCommercial het recht tot opschorting van de uitvoering van de Overeenkomst en het recht om de hierdoor ontstane kosten volgens haar gebruikelijke tarieven in rekening te brengen.

Contractant zal de ter beschikking gestelde Diensten/producten niet gebruiken voor handelingen en/of gedragingen die in strijd zijn met de wet, de goede zeden, de openbare orde, de etiquette, de Overeenkomst en deze algemene voorwaarden. Hieronder vallen onder meer, maar niet uitsluitend, de volgende handelingen en/of gedragingen: spamming, inbreuk plegen op auteursrechtelijk beschermde werk(en) of het anderszins handelen in strijd met de intellectuele eigendomsrechten van derden, het verspreiden van (kinder)pornografie en seksuele uitingen in woord en beeld of het op andere wijze lastig vallen van personen.

Indien Contractant handelt/zich gedraagt in strijd met artikel 4.3 van de Overeenkomst zal 1MinuteCommercial per direct de MMC off-line zetten. De betalingsverplichting en overige verplichtingen van Contractant uit de Overeenkomst blijven onverminderd van kracht.

Contractant zal 1MinuteCommercial vrijwaren voor aanspraken van derden, medewerkers van 1MinuteCommercial daaronder begrepen, die in verband met de uitvoering van de Overeenkomst schade lijden.

RECHTEN VAN INTELLECTUELE EIGENDOM

Alle rechten van intellectuele eigendom op alle krachtens de Overeenkomst ontwikkelde of ter beschikking gestelde Zaken en/of Werken, berusten uitsluitend bij 1MinuteCommercial. Contractant verkrijgt uitsluitend de gebruiksrechten en bevoegdheden die bij deze voorwaarden of anderszins uitdrukkelijk worden toegekend en voor het overige zal Contractant de Werken of andere materialen niet verveelvoudigen of daarvan kopieën vervaardigen.

Het is 1MinuteCommercial toegestaan technische maatregelen te nemen ter bescherming van de Werken. Indien 1MinuteCommercial door middel van technische bescherming de Werken heeft beveiligd, is het Contractant niet toegestaan deze beveiliging te verwijderen of te ontwijken.

Wat betreft Zaken en/of Werken welke 1MinuteCommercial heeft gegenereerd en/of ontwikkeld, vrijwaart 1MinuteCommercial Contractant tegen aanspraken van derden ter zake die Zaken en/of Werken uitsluitend vanwege een (vermeend) inbreuk op een in Nederland geldend intellectueel eigendomsrecht. Contractant zal op verzoek van 1MinuteCommercial in dergelijke gevallen (i) de benodigde en adequate medewerking verlenen aan 1MinuteCommercial, (ii) 1MinuteCommercial onverwijld schriftelijk informeren over het bestaan en de inhoud van de aanspraak, (iii) de behandeling van de betreffende zaak overlaten aan 1MinuteCommercial, en (iv) zonodig adequate volmachten aan 1MinuteCommercial verlenen om zich, zo nodig in naam van Contractant, tegen de aanspraak te verweren.

Afdracht van overige rechten en rechten aan derden, waaronder maar niet uitsluitend auteurs- en portretrecht, zijn de verantwoordelijkheid van de contractant.

LEVERINGSTERMIJNEN

Alle door 1MinuteCommercial genoemde (leverings)termijnen zijn naar beste weten vastgesteld op grond van de gegevens die bij het aangaan van de Overeenkomst aan 1MinuteCommercial bekend waren en zullen zoveel mogelijk in acht worden genomen; de enkele overschrijding van een genoemde (leverings)termijn brengt 1MinuteCommercial niet in verzuim. 1MinuteCommercial is niet gebonden aan (leverings)termijnen, indien de overschrijding is veroorzaakt door buiten haar macht gelegen omstandigheden die zich na het aangaan van de Overeenkomst hebben voorgedaan. Indien overschrijding van enige termijn dreigt, zullen 1MinuteCommercial en Contractant zo spoedig mogelijk in overleg treden.

VERGOEDINGEN

Contractant is aan 1MinuteCommercial de overeengekomen vergoedingen verschuldigd voor door Contractant afgenomen Diensten.

De in dit artikel opgenomen vergoedingen zijn verschuldigd twee weken nadat de werken aan contractant ter beschikking zijn gesteld.

Alle vergoedingen die de Contractant aan 1MinuteCommercial verschuldigd is, zijn exclusief omzetbelasting (BTW) en andere heffingen welke van overheidswege worden opgelegd.

BETALINGEN

Alle verschuldigde bedragen worden eenmaal per maand voor de duur van de Overeenkomst vooraf door middel van automatische incasso van de bank- of girorekening van Contractant afgeschreven ingeval van de leaseoptie.
Indien Contractant niet tijdig heeft betaald, is hij zonder nadere ingebrekestelling in verzuim.
Vanaf de datum waarop Contractant in verzuim verkeert, is 1MinuteCommercial gerechtigd de wettelijke rente die geldt voor handelsovereenkomsten, administratiekosten en de redelijke kosten ter verkrijging van voldoening buiten rechte in rekening te brengen.
Bij twijfel over kredietwaardigheid van Contractant kan 1MinuteCommercial de Contractant vragen zekerheid te stellen. Indien de Contractant hiermee niet instemt, is 1MinuteCommercial gerechtigd de Overeenkomst met onmiddellijke ingang te staken danwel de Overeenkomst te beëindigen.

DUUR EN BEËINDIGING VAN DE OVEREENKOMST

De Overeenkomst wordt aangegaan voor de tussen partijen overeengekomen duur van 12,24 of 36 maanden of voor de daarvoor afgesproken termijn.Aan elk der partijen komt de bevoegdheid tot ontbinding van de Overeenkomst slechts toe indien de andere partij, na een deugdelijke en zo gedetailleerd mogelijke schriftelijke ingebrekestelling waarbij een redelijke termijn gesteld wordt voor zuivering van de tekortkoming, toerekenbaar tekortschiet in de nakoming van wezenlijke verplichtingen ingevolge de Overeenkomst.
Beëindiging van de Overeenkomst voor bepaalde tijd kan door ieder der partijen geschieden 3 maanden voor het verstrijken van het einde van de looptijd. Opzegging dient in alle gevallen schriftelijk te geschieden. Bij niet tijdige opzegging wordt de Overeenkomst automatisch voor 1 jaar verlengd. 1MinuteCommercial kan de Overeenkomst zonder ingebrekestelling en zonder rechterlijke tussenkomst door schriftelijke kennisgeving met onmiddellijke ingang geheel of gedeeltelijk beëindigen indien Contractant - al dan niet voorlopig – surséance van betaling wordt verleend, indien ten aanzien van Contractant faillissement wordt aangevraagd of indien zijn onderneming wordt geliquideerd of beëindigd anders dan ten behoeve van reconstructie of samenvoeging van ondernemingen. 1MinuteCommercial zal wegens deze beëindiging nimmer tot enige schadevergoeding zijn gehouden.
Indien Contractant op het moment van de ontbinding als bedoeld in artikel 9.2 reeds prestaties teruitvoering van de Overeenkomst heeft ontvangen, zullen deze prestaties en de daarmee samenhangende betalingsverplichting geen voorwerp van ongedaanmaking zijn, tenzij 1MinuteCommercial ten aanzien van die prestaties in verzuim is. Bedragen die 1MinuteCommercial vóór de ontbinding heeft gefactureerd in verband met hetgeen zij reeds ter uitvoering van de Overeenkomst heeft verricht of geleverd, blijven met inachtneming van het in de vorige volzin bepaalde onverminderd verschuldigd en worden op het moment van de ontbinding direct opeisbaar.
